Sec. 885.055. ASSEMBLY AS SUPREME GOVERNING BODY. (a) The supreme governing body of a fraternal benefit society is an assembly if the body is composed of: (1) delegates elected directly by the members or at intermediate assemblies or conventions by the members or their representatives; and (2) other delegates as prescribed by the fraternal benefit society's laws. (b) The elected delegates to an assembly must: (1) constitute a majority of the assembly in number; and (2) be entitled to cast the greater of: (A) two-thirds of the votes in the assembly; or (B) the number of votes required to amend the fraternal benefit society's laws. (c) A fraternal benefit society may provide for election of delegates by mail.
