Sec. 431.153. DELIVERY AND FILING OF RESTATEMENT OF ARTICLES. (a) Three originals of the restated articles of incorporation shall be delivered to the secretary of state. (b) The secretary of state shall determine whether the restated articles conform to this chapter. On a determination that the restated articles conform to law and on receipt of a $50 fee, the secretary of state shall: (1) endorse on each original the word "filed" and the date of the filing; (2) file one of the originals in the secretary's office; (3) issue two restated certificates of incorporation; (4) attach to each certificate one of the original restated articles; and (5) deliver a restated certificate of incorporation and the attached restated articles to: (A) the corporation or its representative; and (B) the governing body of the entity that created the corporation. (c) On the issuance of the restated certificate of incorporation, the original articles of incorporation and all amendments to the original articles are superseded. The restated articles of incorporation become the articles of incorporation of the corporation.
