Amendment of articles of incorporation

§ 30. Amendment of articles of incorporation. A cooperative may amend\nits articles of incorporation by complying with the following\nrequirements: The proposed amendment shall be presented to a meeting of\nthe members, the notice of which shall set forth or have attached\nthereto the proposed amendment. If the proposed amendment, with any\nchanges, is approved by the affirmative vote of not less than two-thirds\nof those members voting thereon at such meeting, articles of amendment\nshall be executed and acknowledged on behalf of the cooperative by its\npresident or vice-president and its seal shall be affixed thereto and\nattested by its secretary. The articles of amendment shall recite that\nthey are executed pursuant to this chapter and shall state: (1) the name\nof the cooperative; (2) the address of its principal office; and (3) the\namendment to its articles of incorporation. The president or\nvice-president executing such articles of amendment shall make and annex\nthereto an affidavit stating that the provisions of this section in\nrespect of the amendment set forth in such articles were duly complied\nwith.\n
