§ 9017. Place and time of meetings of the board; presence at. 1.\nMeetings of the board, regular or special, may be held at any place\nwithin or without this state, unless otherwise provided in the\norganization certificate or the by-laws.\n  2. Subject to articles six, ten, ten-B and eleven of this chapter, the\ntime and place for holding meetings of the board may be fixed by or\nunder the by-laws, or, if not so fixed, by the board.\n  3. When authorized by the organization certificate of incorporation or\nthe by-laws, any one or more members of the board or any committee\nthereof may participate in a meeting of such board or committee by means\nof a conference telephone or similar communications equipment allowing\nall persons participating in the meeting to hear each other at the same\ntime. Participation by such means shall constitute presence in person at\na meeting.\n
