Nevada Code § 82.246

Resignation

1. Except as otherwise provided in
subsection 2, and unless otherwise provided in its articles or bylaws, a member
of a corporation may resign at any time. The resignation of a member does not
relieve the member from any obligations the member may have to the corporation
for dues, assessments or fees or charges for goods or services. No member may
avoid liability for dues, assessments, fees or charges by resigning if the
member owes them as a condition of or by reason of the ownership of an interest
in real property.
2. Unless otherwise provided in its
articles or bylaws, no member of a corporation, including, but not limited to,
a cooperative corporation, which supplies services described in chapter 704 of NRS to its members only, and no
person who is a member of a corporation as a condition of or by reason of the
ownership of an interest in real property, may resign pursuant to subsection 1.
