Change of registered agent or registered office

(1) In order to change its registered agent or registered office address, a limited partnership or a foreign limited partnership may deliver to the Department of State for filing a statement of change containing: (a) The name of the limited partnership or foreign limited partnership. (b) The name of its current registered agent. (c) If the registered agent is to be changed, the name and written acceptance of the new registered agent. (d) The street address of its current registered office address for its registered agent. (e) If the registered office address is to be changed, the new street address in this state of such office. (2) A statement of change is effective when filed by the Department of State. (3) The changes described in this section may also be made on the limited partnership or foreign limited partnership’s annual report filed with the Department of State.
