Waiver of notice

(1) WRITTEN WAIVER. A
shareholder may waive any notice required by this chapter, the articles of incorporation or the bylaws before or after the date and
time stated in the notice. The waiver shall be in writing and
signed by the shareholder entitled to the notice and contain the
same information that would have been required in the notice under any applicable provisions of this chapter, except that the time
and place of meeting need not be stated. The shareholder shall
deliver the waiver to the bank for inclusion in the bank records.
(2) WAIVER BY ATTENDANCE. A shareholder’s attendance at
a meeting, in person or by proxy, waives objection to all of the
following:
(a) Lack of notice or defective notice of the meeting, unless
the shareholder at the beginning of the meeting or promptly upon
arrival objects to holding the meeting or transacting business at
the meeting.
(b) Consideration of a particular matter at the meeting that is
not within the purpose described in the meeting notice, unless the
shareholder objects to considering the matter when it is
presented.
