Wisconsin Code § 196.78

Voluntary dissolution

No corporation or limited
liability company owning or operating a public utility may be dissolved unless the commission consents. The commission may
consent only after hearing. The commission shall give at least 30
days’ notice to each municipality in which the public utility is operated and an opportunity to be heard to each municipality and to
the stockholders in the corporation or members of a limited liability company.
