Number and election of directors

(a) A board of directors must consist of three or more individuals, with the number specified
in or fixed in accordance with the articles of incorporation or bylaws.
(b) The number of directors may be increased or decreased from time to time by amendment
to, or in the manner provided in, the articles of incorporation or bylaws.
(c) The initial board of directors is to be designated in the articles of incorporation or elected
at the organizational meeting of the corporation. Thereafter, if the corporation has members
entitled to vote for directors, directors are to be elected at the fiurst meeting of the members
held for that purpose and at each subsequent annual meeting, except as provided in section
eight hundred four of this article.
