Decree of dissolution

(a) If after a hearing the circuit court determines that one or more grounds for judicial
dissolution described in section one thousand four hundred thirty of this article exist, it may
enter a decree dissolving the corporation and specifying the effective date of the dissolution
and the clerk of the circuit court shall deliver a certified copy of the decree to the Secretary
of State, who shall file it. e
(b) After entering the decree of dissolution, the circuit court shall direct the winding-up and
liquidation of the corporation's business and affairs in accordance with section one thousand
four hundred five of this article and the notification of claimantsu in accordance with sections
one thousand four hundred six and one thousand four hundred seven of this article.
