Utah Code § 78B-3a-101

As used in this chapter:
(1)
(a) "Action" means a lawsuit or case that is commenced in a court.
(b) "Action" does not include a criminal action as defined in Section 77-1-3.
(2) "Business organization" means:
(a) an association;
(b) a corporation;
(c) an institution, as that term is defined in Section 7-1-103;
(d) a joint stock company;
(e) a joint venture;
(f) a limited liability company;
(g) a mutual fund trust;
(h) a partnership; or
(i) any other similar form of organization described in Subsections (2)(a) through (h).
(3) "Cause of action" means the act or omission giving rise to the action.
(4) "Principal place of business" means the place where the business organization's officers direct,
control, and coordinate the business organization's activities regardless of whether the place is
located in this state.
(5) "Registered office" means the place within this state that the business organization designated
as the business organization's registered office in the most recent document on file with the
Division of Corporations and Commercial Code.
