(1) Terms defined in Sections 76-1-101.5 , 76-16-101 , and 76-16-201 apply to this section. (2) An actor commits prohibited refusal of inspection or copying of corporate books if the actor: (a) is an officer or agent of a corporation having or keeping an office within this state; (b) has in the actor's custody or control the books of the corporation; and (c) refuses to give to a bona fide stockholder of record or member of the corporation, lawfully demanded during office hours, the right to inspect or take a copy of all or part of the corporation's books.
