Sec. 431.184. DELIVERY AND FILING OF ARTICLES OF DISSOLUTION. (a) Three originals of the articles of dissolution shall be delivered to the secretary of state. (b) The secretary of state shall determine whether the articles of dissolution conform to this chapter. On a determination that the articles conform and on receipt of a $50 fee, the secretary of state shall: (1) endorse on each original the word "filed" and the date of the filing; (2) file one of the originals in the secretary's office; (3) issue two certificates of dissolution; (4) attach to each certificate an original of the articles of dissolution; and (5) deliver a certificate and the attached articles of dissolution to: (A) the representative of the dissolved corporation; and (B) the commission.
