Sec. 431.145. EXECUTION AND VERIFICATION OF ARTICLES OF AMENDMENT. (a) Articles of amendment adopted by the board shall be executed by: (1) the president or vice-president of the corporation; and (2) the secretary or assistant secretary of the corporation. (b) Articles of amendment adopted by the commission shall be executed by: (1) the presiding officer of the commission; and (2) the secretary or clerk of the commission. (c) One of the officers signing the articles shall verify each of the articles of amendment.
