Sec. 431.027. EFFECT OF ISSUANCE OF CERTIFICATE OF INCORPORATION. (a) A corporation's existence begins when its certificate of incorporation is issued. (b) After the issuance of the certificate of incorporation, the incorporation may not be contested for any reason. (c) A certificate of incorporation is conclusive evidence that: (1) all conditions for incorporation required of the incorporators and the commission are satisfied; and (2) the corporation is incorporated under this chapter.
