Sec. 337.013. SCOPE OF AUTHORITY. (a) Notwithstanding any provision of Chapter 221 , Health and Safety Code, or Chapter 53 , Education Code, a corporation may exercise: (1) the authority of the corporation inside or outside the limits of: (A) the municipality that created the corporation if the municipality is located in a county with a population of more than 300,000; or (B) the county that created the corporation if the county has a population of more than 300,000; and (2) the powers of the corporation on behalf of a user outside of this state if the user also conducts lawful activities in this state. (b) A corporation may exercise the authority of the corporation without the consent or other action of any person that would otherwise be required under Chapter 221 , Health and Safety Code, or Chapter 53 , Education Code, unless the articles of incorporation or bylaws of the corporation provide differently.
