Sec. 303.033. RESIGNATION OF REGISTERED AGENT. (a) A registered agent of a corporation may resign by: (1) mailing or delivering written notice to the corporation; and (2) filing the original and two copies of the notice in the office of the secretary of state not later than the 10th day after the date the notice is mailed or delivered to the corporation. (b) The notice must include: (1) the corporation's last known address; (2) a statement that written notice was given to the corporation; and (3) the date the written notice was given to the corporation. (c) If the secretary of state finds that the notice complies with this chapter, the secretary of state, on payment of all fees required by this chapter, shall: (1) write "filed" on the original notice and both copies and the month, day, and year of the filing; (2) file the original notice in the office of the secretary of state; (3) return one copy of the notice to the resigning registered agent; and (4) deliver one copy of the notice to the corporation at the address shown in the notice. (d) The resignation takes effect on the 31st day after the date the notice is received by the secretary of state.
