Sec. 21.413. QUORUM. (a) A quorum of the board of directors is the majority of the number of directors set or established in the manner provided by the certificate of formation or bylaws of a corporation unless the laws of this state, the certificate of formation, or the bylaws require a different number or portion. (b) Neither the certificate of formation nor the bylaws may provide that less than one-third of the number of directors constitutes a quorum.
