Certificate of issuance of preferred stock--Filing with secretary of state

Upon the creation of any series of preferred stock pursuant to §
49-33-24
and before the issuance of any shares thereof, the number of shares of such series and the designation, characteristics, and terms thereof provided for in such resolution or resolutions shall be set forth in a certificate made by the corporation, signed by its president or vice

president under the corporate seal, attested by its secretary or an assistant secretary and acknowledged or proved, as in the case of deeds of real estate, which certificate shall be filed in the Office of the Secretary of State.
