(1) A foreign limited liability partnership authorized to transact business in this state may withdraw from transacting business in this state by applying to the office of the Secretary of State for withdrawal. The application shall set forth: (a) The name of the foreign limited liability partnership and the name of the state or country under whose law it is registered; and (b) A commitment to notify the Secretary of State for a period of five years from the date of withdrawal of any change in its mailing address. (2) A withdrawal notice terminates the active status of the partnership as a foreign limited liability partnership as of the date of filing the notice or a later date specified in the notice.
