(1) If after a hearing a court determines that one or more grounds for judicial dissolution described in ORS 65.661 exist, the court may enter a judgment dissolving the corporation and specifying the effective date of the dissolution. The clerk of the court shall deliver a certified copy of the judgment to the Secretary of State for filing. (2) After entering the judgment of dissolution, the court shall direct the winding up and liquidation of the corporations affairs in accordance with ORS 65.637 and the notification of claimants in accordance with ORS 65.641 and 65.644.
