(1) Unless a delayed effective date is specified in the articles of organization, the limited liability companys existence begins when the articles of organization are filed by the Secretary of State.
(2) The Secretary of States filing of the articles of organization is conclusive proof that all conditions precedent to organization were satisfied except in a proceeding by the state to cancel or revoke the organization or involuntarily dissolve the limited liability company.
