North Dakota Code § 10-33-49

Officers

1. The officers of a corporation must be individuals who are eighteen years of age or 
more exercising the functions of the offices and:
a. Must include a president and a secretary, however designated; and
b. May also include a treasurer, one or more vice presidents, and any other officers , 
however designated, as may be prescribed by the bylaws. 
2. Unless the articles or the bylaws provide that the members with voting rights may elect 
the officers:
a. Each officer must be elected by the board at the time and in the manner as may 
be provided in the bylaws; or
b. To the extent authorized in the articles, the bylaws, or a resolution approved by 
the affirmative vote of a majority of the directors present, the president may 
appoint one or more officers, other than the treasurer.
3. Unless otherwise provided, president shall mean chief executive officer and treasurer 
shall mean chief financial officer.
