§ 53-a. Provisions governing meetings for incorporation. 1. If the\nmeeting shall decide that such unincorporated church shall become an\nincorporated church or congregation of the American Patriarchal Orthodox\nChurch, a certificate of incorporation therefor shall be executed and\nacknowledged by the archbishop who is the ecclesiastical administrator,\nthe vicar-general and the chancellor of Patriarchal Synod, the rector or\nvicar of the church or congregation and by the laymen trustees that have\nbeen elected, and by the clerk of the corporation, and the said\ncertificate of incorporation shall contain the following:\n (a) The name of the proposed corporation;\n (b) The number of laymen trustees thereof, the names of the persons\nelected as laymen trustees, the terms of office for which they were\nrespectively elected as laymen trustees;\n (c) An exact copy of the resolution which provides for the clerical\ntrustees by virtue of their offices;\n (d) The county and town, city or village in which the principal place\nof worship is or is intended to be located.\n 2. On filing such certificate in the office of the county clerk of the\ncounty in which such church is or is intended to be located, such church\nshall be a corporation by the name stated in the certificate, and the\npersons therein stated to be elected clerical and laymen trustees of\nsuch church shall be the trustees therefor for their respective terms\nand until their successors are elected.\n
