§ 121-106. Records. (a) Each domestic limited partnership shall\nmaintain the following records, which may, but need not, be maintained\nin this state:\n  (1) a current list of the full name and last known mailing address of\neach partner set forth in alphabetical order together with the\ncontribution and the share in profits and losses of each partner or\ninformation from which such share can be readily derived;\n  (2) a copy of the certificate of limited partnership and all\namendments thereto, together with executed copies of any powers of\nattorney pursuant to which any certificate or amendment has been\nexecuted;\n  (3) a copy of the partnership agreement, any amendments thereto and\nany amended and restated partnership agreements; and\n  (4) a copy of the limited partnership's federal, state, and local\nincome tax or information returns and reports, if any, for the three\nmost recent fiscal years.\n  (b) Any partner may, subject to reasonable standards as may be set\nforth in the partnership agreement or otherwise established by the\ngeneral partners, inspect and copy at his own expense for any purpose\nreasonably related to the partner's interest as a partner the records\nreferred to in subdivision (a) of this section, any financial statements\nmaintained by the limited partnership for the three most recent fiscal\nyears and other information regarding the affairs of the limited\npartnership as is just and reasonable.\n
