§ 3559. Transfer of property; relationship with the state; certain\ngifts, loans and guarantees by the state.  1. (a) The state may give,\ngrant, sell, convey, loan, license the use of, or lease to the\ncorporation and the corporation may accept any property which is useful\nin connection with the exercise by the corporation of any of its powers\nunder this title.\n  (b) Any such gift, grant, sale, conveyance, loan, license or lease\nshall be upon such terms and conditions, for such consideration, if any,\nand for such term or terms of years, subject to the rights of the\nholders of any bonds, as the corporation and the state may agree.  No\nreal property of the state consisting of any health facility currently\noperated by the state as Roswell Park Cancer Institute shall be\ntransferred to the corporation, except subject to a right of first\nrefusal in favor of the state and subject to a right of reverter in the\nevent that the corporation should cease to use such property for the\npurpose of provision of research, education and health care.\n  2.  In addition to the authority granted elsewhere in this title and\nby other applicable laws, the corporation and the state may enter into a\ncontract or contracts from time to time providing for one or more of the\nfollowing:\n  (a) the payment of sums for health care services provided by the\ncorporation which could otherwise be provided directly by the state,\nincluding services for uncompensated care;\n  (b) services to be provided by the state to or on behalf of the\ncorporation;\n  (c) the transfer of employees of the state to the corporation as\nprovided in section thirty-five hundred fifty-seven of this title;\n  (d) indemnification by the corporation of the state for claims\nassociated with establishment of and operation of the corporation and\nits health facilities;\n  (e) such other matters as may be appropriate to accomplish the\npurposes hereof.\n  Such contract or contracts shall include such terms and conditions, be\nfor such consideration, if any, and have such term or terms of years, as\nthe corporation and the state may agree.\n
