Application to existing authorized foreign corporations

§ 1302. Application to existing authorized foreign corporations.\n  Every foreign corporation which on the effective date of this chapter\nis authorized to conduct activities in this state under a certificate of\nauthority heretofore issued to it by the secretary of state shall\ncontinue to have such authority. Such foreign corporation, its members,\ndirectors, and officers shall have the same rights, franchises, and\nprivileges and shall be subject to the same limitations, restrictions,\nliabilities, and penalties as a foreign corporation authorized under\nthis chapter, its members, directors, and officers respectively. A\nforeign corporation may by amendment to its certificate of authority set\nforth whether it is a charitable corporation or a non-charitable\ncorporation and in the absence of such amendment an authorized foreign\ncorporation shall be a charitable corporation. Reference in this chapter\nto an application for authority shall, unless the context otherwise\nrequires, include the statement and designation and any amendment\nthereof required to be filed by the secretary of state under prior\nstatutes to obtain a certificate of authority.\n
