Law Governing Foreign Limited Liability Companies

I. Internal Affairs. The laws of the state, territory, possession, or other jurisdiction or country under which a foreign limited liability company is organized shall govern its organization and internal affairs and the liability of its members and managers. II. A foreign limited liability company shall not be denied registration by reason of any difference between those laws and the laws of New Hampshire. III. A foreign limited liability company shall be subject to and have the benefit of RSA 304-C:21 and RSA 304-C:22.
