I. A foreign professional corporation shall be entitled to procure a certificate of authority to transact business in this state only if: (a) The name of the corporation meets the requirements of this chapter; (b) The corporation is organized only for purposes for which a professional corporation organized under this chapter may be organized; and (c) All the shareholders, and such of the directors and officers as are required under RSA 294-A:20 are qualified persons with respect to the corporation. II. No foreign professional corporation shall be required to obtain a certificate of authority to transact business in this state unless it maintains an office in this state for the conduct of business or professional practice.
