Election of directors and delegates; classification of directors

1. If a corporation has members entitled
to vote for the election of directors, or for the election of delegates who
vote for the election of directors, unless elected pursuant to NRS 82.271 or 82.276 , and subject to subsection 2, the
directors or delegates of every corporation must be chosen at the annual
meeting of the members or delegates, to be held on a date and at a time and in
the manner provided for in the bylaws, by a plurality of the votes cast at the
election. If for any reason the directors are not elected pursuant to NRS 82.271 or 82.276 or at the annual meeting of the
members or delegates, they may be elected at any special meeting of the members
which is called and held for that purpose.
2. The articles or bylaws may provide for
the classification of directors as to their respective terms of office, their
election by one or more authorized classes or series of members or delegates,
their election by members or delegates in geographic areas, districts or
precincts, and their election annually by ballot instead of at an annual
meeting.
