Election and term of President; appointment and compensation of Executive Director; vacancy in position of Executive Director

1. At the first meeting of the Board held
each fiscal year, the Board shall meet and organize by electing from its membership
a President who shall hold office for 1 year and until the election and
qualification of his or her successor.
2. The Board shall appoint an Executive
Director who serves at the pleasure of the Board and is entitled to receive
compensation as set by the Board. The Executive Director must not be a member
of the Board. If a vacancy occurs in the position of Executive Director, the
Board may appoint one of its members to perform the duties of the Executive
Director until the position is filled. A member of the Board who is appointed
to perform the duties of the Executive Director is not entitled to receive any
compensation for performing those duties.
