A merger or consolidation with a domestic survivor or new domestic limited liability company is effective as of the later of: (1) The date the secretary files the notice of merger or consolidation for record; or (2) The date set forth in the notice of merger or consolidation, not to exceed ninety days after the notice of merger or consolidation is accepted for filing.
