Evidence of authority to do business

If the Secretary of State finds that an application for the authority to do business conforms to the
requirements of this chapter and all requisite fees have been paid, the Secretary of State shall: [PL

1. Attest application. Attest that the application has been filed by:
A. Endorsing upon the original application the word "filed" and the day, month and year of the
filing. The person delivering the application for filing may have the endorsement include the hour
and minute of the filing of the application. This endorsement is conclusive of the date and time, if
included in the endorsement, and of its filing in the absence of actual fraud; and [PL 1995, c. 633,

B. Signing, initialing or placing an identifying mark on the endorsement in paragraph A in person

2. File the application. File and index the endorsed application; and

3. Copy to limited liability partnership. Furnish to the person submitting the document for filing,
or that person's representative, an attested copy of the application.
