1. Statement of correction. A limited liability company or foreign limited liability company may
deliver to the office of the Secretary of State for filing a statement of correction to correct a record
previously delivered by the limited liability company or foreign limited liability company to the office

incorrect information or was defectively signed or if the information subsequently becomes inaccurate.

filed; [PL 2009, c. 629, Pt. A, §2 (NEW); PL 2009, c. 629, Pt. A, §3 (AFF).]
B. Specify the incorrect or inaccurate information and the reason it is incorrect or inaccurate or the

3. Effective retroactively; effective when filed. When filed by the Secretary of State, a statement
of correction is effective retroactively as of the effective date of the record the statement corrects, but
the statement is effective when filed as to persons that previously relied on the uncorrected record and
would be adversely affected by the retroactive effect.

erroneously filed record.
