Power to bind limited liability company after dissolution

After dissolution, a limited liability company is bound by: [PL 2009, c. 629, Pt. A, §2 (NEW);

1. Act of authorized person if appropriate. The act of a person authorized to wind up the affairs
if the act is appropriate for winding up the limited liability company's activities; or

2. Act of authorized person if binding before dissolution. The act of a person authorized to act
on behalf of the limited liability company before dissolution if the act would have bound the limited
liability company before dissolution, if the other party to the transaction did not have notice of the
dissolution.
