(a) Subject to the constitution of the state of Kansas: (1) The laws of the state, territory, possession, county or other jurisdiction under which a foreign covered entity is organized govern its organization and internal affairs and the liability of its members and governors; and (2) a foreign covered entity may not be denied registration by reason of any difference between those laws and the laws of the state of Kansas. (b) Registration with the secretary of state does not authorize a foreign covered entity to engage in any business or exercise any power that a covered entity may not engage in or exercise in this state as a foreign covered entity. (c) A foreign covered entity may conduct or promote any lawful business or purposes, except as otherwise provided by the laws of this state. (d) This section shall take effect on and after January 1, 2015.
