Resignation of registered agent

1. A registered agent may resign as agent for a corporation by delivering to the secretary of state for filing a statement of resignation signed by the agent which shall state all of the following: a. The name of the corporation. b. The name of the agent. c. The agent resigns from serving as registered agent for the corporation. d. The address of the corporation to which the agent will deliver the notice required by subsection 3. 2. A statement of resignation takes effect on the earlier of the following: a. 12:01 a.m. on the thirty-first day after the day on which itis filed by the secretary of state. b. The designation of a new registered agent for the corporation. 3. A registered agent promptly shall deliver to the corporation notice of the date on which a statement of resignation was delivered to the secretary of state for filing. 4. When a statement of resignation takes effect, the person that resigned ceases to have responsibility under this chapter for any matter thereafter tendered to itas agent for the corporation. The resignation does not affect any contractual rights the corporation has against the agent or that the agent has against the corporation. 5. A registered agent may resign with respect to a corporation regardless of whether the corporation is in good standing.
