Registration or filing not considered finding upon merits

Sec. 23. (a) Neither: (1) the fact that a registration renewal form has been filed or a registration notification form has been submitted to the commissioner under section 10.5 of this chapter; nor (2) the fact that such registration has become effective; constitutes a finding by the commissioner that any document filed under this chapter is true, complete, or not misleading. Neither any such fact nor the fact that an exemption is available for a transaction means that the commissioner has passed in any way upon the merits or qualifications of, or recommended or given approval to, any person, franchise or transaction.       (b) A person may not make or cause to be made to any prospective purchaser or offeree any representation inconsistent with subsection (a).
