Sec. 17. (a) A majority of the board members constitutes a quorum for a meeting. The board may act by an affirmative vote of a majority of the board. (b) The corporation shall record memoranda from the meeting as required by IC 5-14-1.5-4 . [Pre-1993 Recodification Citation: 16-12-21-12(b).]
