Merger; Secretary's certificate.

The executed merger agreement
together with copies of the resolutions of the members or stockholders of each
merging depository institution approving it, certified by the president or vice president,
and attested to by the secretary of the savings bank, shall be filed with the Secretary. The Secretary
 shall then issue to the continuing savings bank a certificate of
merger, setting forth the name of each merging depository institution, the name
of the continuing savings bank, and the articles of incorporation of the
continuing savings bank. The merger takes effect upon the issuance of the certificate of merger.
