Qualifications of directors.

All directors must be individuals. If the corporation is a cooperative, all directors must be members of the corporation, provided, that unless otherwise provided in the bylaws, a person who has the right to vote on behalf of an entity which is a member of the corporation may serve as a director. The articles or bylaws may prescribe other qualifications for directors.
