In any derivative proceeding in the right of a foreign corporation, the matters covered by sections 30-1-740 through 30-1-746 , Idaho Code, shall be governed by the laws of the jurisdiction of incorporation of the foreign corporation except for sections 30-1-743 , 30-1-745 and 30-1-746 , Idaho Code.
