(1) This part applies to a social purpose corporation and does not affect a corporation that is not a social purpose corporation. (2) Except as otherwise provided in this part, this chapter applies generally to all social purpose corporations. (3) A social purpose corporation may be simultaneously subject to this part and to one or more chapters, including chapter 621. In such event, this part takes precedence with respect to a social purpose corporation. (4) Except as authorized by this part, a provision of the articles of incorporation or bylaws of a social purpose corporation, or a shareholders agreement among shareholders of a social purpose corporation, may not limit, be inconsistent with, or supersede a provision of this part.
