Delaware Code § 8-375

Failure to file report

Upon the failure, neglect or refusal of any foreign corporation to file an annual report as required by § 374 of this title, the Secretary of
State may, in the Secretary of State's discretion, investigate the reasons therefor and shall terminate the right of the foreign corporation to
do business within this State upon failure of the corporation to file an annual report within any 2-year period.
