Foreign limited liability partnerships doing business without having qualified; injunctions

(a) The Court of Chancery shall have jurisdiction to enjoin any foreign limited liability partnership, or any agent thereof, from doing any
business in the State of Delaware if such foreign limited liability partnership has failed to register under this subchapter or if such foreign
limited liability partnership's statement of foreign qualification contains false or misleading representations. The Attorney General shall,
upon his or her own motion or upon the relation of proper parties, proceed for this purpose by complaint in any county in which such
foreign limited liability partnership is doing or has done business.
(b) Any foreign limited liability partnership doing business in the State of Delaware without first having registered shall pay to the
Secretary of State a fee of $200 for each year or part thereof during which the foreign limited liability partnership failed to register in
the State of Delaware.
