Delaware Code § 5-1515

Organizational meeting; notice; proceedings

At the organizational meeting or at any adjournment thereof, the incorporator(s) shall appoint a temporary secretary, adopt bylaws and
elect, in such matter as the bylaws may determine, directors, a president, a secretary and such other officers as the bylaws may prescribe.
All the officers so elected shall be sworn to the faithful performance of their duties. The temporary secretary shall make and attest a record
of the proceedings until the secretary has been chosen and sworn, including a record of such choice and qualification.
