Quorum and voting

(a) The number of board members who must be present in order to have a quorum and conduct business is the majority of appointed
members. A vacancy on the Board is not counted to determine whether quorum is met.
(b) An affirmative vote of a majority of board members is required to approve an act of the Board. A vacancy on the Board is not
counted for approval of an act of the Board.
