(a) The certificate of incorporation or bylaws may prescribe qualifications for directors. A director need not be a resident of this state or a member of the corporation unless the certificate of incorporation or bylaws so prescribe. (b) The directors and board of directors may be designated by such other names as may be provided in the certificate of incorporation or bylaws.
