âArticlesâ includes the articles of incorporation, amendments thereto, amended articles, restated articles, certificate of incorporation and certificates of determination. All references in this division to a vote required by the âarticlesâ include, in the case of a close corporation (Section 158), any vote required by a shareholdersâ agreement.
