(a) The provisions of §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 relating to domestic corporations shall apply to: (1) All corporations organized hereunder; and (2) All not-for-profit corporations heretofore organized under any act hereby repealed, for the purposes for which a corporation might be organized under §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 . (b) The provisions of §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 relating to foreign corporations shall apply to all foreign not-for-profit corporations conducting affairs in this state for purposes for which a corporation might be organized under §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 . However, §§ 4-28-201 - 4-28-206 and 4-28-209 - 4-28-224 shall not apply to any corporation whose membership is composed of corporations which file annual statements with a department or agency of this or some other state.
